These Terms and Conditions (“Agreement”) govern the use of services, products, and solutions provided by The Tuitionist (SMC Pvt Ltd), including but not limited to AI-driven tools, learning management systems, tutoring platforms, SME digitization services, and apps published on digital platforms such as Google Play Store and Apple App Store.

By accessing or using our services, including any associated apps, you agree to comply with these Terms and Conditions. If you do not agree, you should refrain from using our services.

1. Definitions

  • Services: Includes all software, SaaS solutions, AI-driven tools, educational tools, LMS, and associated digital platforms offered by The Tuitionist.
  • Platform: The web, mobile, or desktop application where you access the Services (including apps published under The Tuitionist’s account).
  • SME: Small and Medium-sized Enterprises that utilize The Tuitionist’s services for business digitization, including AI and SaaS solutions.
  • AI-Driven Tools: Includes AI chatbots, machine learning agents, and other AI-related technologies used to digitize business processes.
  • App Publishing: The act of publishing a SME-branded app under The Tuitionist’s account on platforms like the Google Play Store and Apple App Store.

2. Scope of Services

The Tuitionist offers a range of services, including:

  • SME Digitization Solutions: AI-powered SaaS tools for businesses, such as AI chatbots, machine learning agents, CRM, and customer support tools.
  • Learning Management System (LMS): A platform for schools to manage attendance, grades, communication, timetable, online classes, and more.
  • Tutoring Platform: An online platform where students and tutors can connect for educational services.

3. Use of Services

3.1 Eligibility

You must be at least 18 years old or have legal authorization to use The Tuitionist’s services. By agreeing to these terms, you represent and warrant that you have the legal capacity to enter into this Agreement.

3.2 Account Registration

To use our services, you may need to create an account. You agree to provide accurate, complete, and current information and maintain the security of your account credentials. The Tuitionist reserves the right to suspend or terminate accounts that violate these terms.

3.3 Prohibited Uses

You may not use the services to:

  • Violate any applicable laws or regulations.
  • Upload or transmit viruses, malicious code, or other harmful materials.
  • Infringe on the intellectual property rights of others.
  • Engage in unlawful activity or harass, defraud, or deceive other users.

4. Data Privacy & Security

The Privacy Policy (which is incorporated by reference) governs the collection, storage, use, and sharing of data. You agree to comply with The Tuitionist’s privacy policies, including any data protection requirements, and ensure your use of the services complies with all applicable privacy laws.

  • The Tuitionist ensures data is protected through encryption, secure servers, and regular audits.
  • You are responsible for safeguarding the privacy of any data you share with other users or institutions via the platform.

5. Intellectual Property

5.1 Ownership of Content

  • All intellectual property related to The Tuitionist’s services, including software, algorithms, UI/UX designs, documentation, and other materials, is owned by The Tuitionist or its licensors.
  • You may not copy, distribute, or reverse-engineer the services without express written consent from The Tuitionist.

5.2 License Grant

The Tuitionist grants you a non-exclusive, non-transferable license to use the services solely for the purposes defined in this Agreement, subject to compliance with these terms.

6. App Publishing & Distribution

6.1 App Publishing

If you are an SME client, The Tuitionist may publish your app on the Google Play Store and Apple App Store under The Tuitionist’s account, which will not affect the approval process for app submission. The app will be branded according to your specifications and comply with the store’s guidelines.

  • The Tuitionist ensures that the app complies with all relevant terms and conditions of the app stores and will work with the SME to meet any necessary requirements.
  • The Tuitionist retains the right to modify, update, or remove the app as required.

7. Payment Terms

7.1 Fees

  • SME clients will be charged based on the pricing plans agreed upon in their contract with The Tuitionist. These may include subscription fees, one-time charges, or usage-based fees depending on the services.
  • The payment schedule will be outlined in the relevant contract.
  • Payments for LMS or AI-driven SaaS services will be due monthly or annually as per the agreed terms.

7.2 Late Payments

Any payments overdue by 15 days or more will incur a 10% penalty on the outstanding amount. Access to the services may be suspended for continued non-payment.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the term of this Agreement. This includes business data, software, AI models, and any other confidential materials.

9. Termination

9.1 Termination by Client

  • You may terminate your use of the services at any time, subject to the terms of the relevant contract.
  • If termination occurs before the end of the contract, the client may still be responsible for any outstanding fees.

9.2 Termination by The Tuitionist

The Tuitionist reserves the right to terminate or suspend services if you:

  • Violate these Terms and Conditions.
  • Fail to comply with payment obligations.
  • Engage in activities that negatively impact the service, other users, or The Tuitionist’s reputation.

10. Limitation of Liability

  • The Tuitionist will not be held liable for any indirect, incidental, special, or consequential damages arising from your use of the services, including but not limited to loss of data or profits.
  • Our liability will be limited to the amount paid by you for the services in the 3 months preceding the event that gave rise to the claim.

11. Dispute Resolution

Any disputes or claims arising out of or in connection with this Agreement will be resolved through arbitration in accordance with the rules of the Pakistan Arbitration Act. The decision of the arbitrator will be final and binding.

12. Force Majeure

The Tuitionist will not be held liable for any failure or delay in performance caused by events beyond its control, such as natural disasters, war, strikes, or government action.

13. Amendments

The Tuitionist reserves the right to update or modify these Terms and Conditions at any time. Changes will be communicated to users via email or platform notifications.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Pakistan.

iOS Subscriptions (Summary)

  • Subscription names shown in-app match the IAP product names in App Store Connect.
  • Prices are displayed from StoreKit (not hard-coded); taxes/currency vary by region.
  • Auto-renewing unless cancelled at least 24 hours before the end of the period.
  • Manage or cancel anytime in Apple ID settings (Settings → [Your Name] → Subscriptions).
  • If offered, unused trial portions are forfeited when purchasing a subscription.
  • Refunds for iOS purchases are handled by Apple (see reportaproblem.apple.com).
  • "Restore Purchases" is available for the same Apple ID on a new device.
